Introduction

Welcome to Global Goods Hub. This document outlines our Policy and Terms & Conditions, which govern your use of our website and services. By accessing or using our Learning Management System (LMS), you agree to comply with and be bound by these terms. If you do not agree with any part of these terms, please refrain from using our services.

1. Definitions

LMS: Learning Management System. User: Any individual or entity accessing or using the LMS. Content: All materials, including text, images, videos, and other multimedia, provided through the LMS.

2. Registration

To access certain features of our LMS, you may need to register and create an account. You agree to provide accurate and complete information during registration and to update your information as necessary to keep it accurate and complete.

3. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

5. Permitted Use

You may use the LMS for lawful educational purposes. You agree not to use the LMS:

  • In any way that breaches any applicable local, national, or international law or regulation.
  • To send, knowingly receive, upload, download, use, or re-use any material that does not comply with our content standards.
  • To transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material or any other form of similar solicitation (spam).
  • To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

6. Content Standards

These standards apply to any and all material which you contribute to the LMS. Contributions must:

  • Be accurate (where they state facts).
  • Be genuinely held (where they state opinions).
  • Comply with applicable law in the US and in any country from which they are posted.

Contributions must not:

  • Contain any material which is defamatory of any person.
  • Contain any material which is obscene, offensive, hateful, or inflammatory.
  • Promote sexually explicit material, violence, or discrimination.
  • Infringe any copyright, database right, or trademark of any other person.
  • Be likely to deceive any person.
  • Promote any illegal activity.
  • Be used to impersonate any person, or to misrepresent your identity or affiliation with any person.

7. Intellectual Property Rights

All intellectual property rights in the LMS and the Content are owned by Global Goods Hub or our licensors. These rights are protected by laws and treaties around the world. All such rights are reserved.

You are granted a limited, non-exclusive, non-transferable license to access and use the LMS and the Content for your personal, non-commercial use, subject to these terms. You may not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content.
  • Use any data mining, robots, or similar data gathering and extraction tools on the LMS.
  • Frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Global Goods Hub without our express written consent.
  • Use any meta tags or any other "hidden text" utilizing Global Goods Hub's name or trademarks without our express written consent.

8. Termination

We may terminate or suspend your account and bar access to the LMS immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the LMS will immediately cease. If you wish to terminate your account, you may simply discontinue using the LMS.

9. Limitation of Liability

In no event shall Global Goods Hub, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the LMS, any websites linked to it, any content on the LMS, or such other websites, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

10. Indemnification

You agree to defend, indemnify, and hold harmless Global Goods Hub, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these terms or your use of the LMS, including, but not limited to, your User Contributions, any use of the LMS's content, services, and products other than as expressly authorized in these terms, or your use of any information obtained from the LMS.

11. Governing Law and Jurisdiction

These terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America.

12. Entire Agreement

These terms constitute the entire agreement between you and Global Goods Hub regarding the use of the LMS and supersede and replace any prior agreements between you and Global Goods Hub regarding the LMS.

13. Waiver and Severability

No waiver by Global Goods Hub of any term or condition set out in these terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Global Goods Hub to assert a right or provision under these terms shall not constitute a waiver of such right or provision.

If any provision of these terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the terms will continue in full force and effect.

14. Changes to the Terms

We reserve the right, at our sole discretion, to modify or replace these terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our LMS after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the LMS.
